Условия обслуживания

These terms govern your use of ScarabPay Business (the "platform"). By creating an account, or by using the API or the merchant portal, you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.
1. What the platform is
The platform is business-to-business infrastructure. It lets your business issue payment cards to your own customers, funded from a wallet you hold with us, and records every movement of money in a double-entry ledger.
We are not a bank and we do not hold a banking licence. Cards are issued through licensed issuing partners. Some functions depend on those partners and on regulated payment infrastructure that we do not control.
2. Eligibility and verification
The platform is available to businesses, not to consumers. Before you can move money we must verify your business, its beneficial owners, and the people you authorise to act for it. We may ask for further information at any time, and we may decline or discontinue service if we cannot complete verification to our satisfaction or our partners' requirements.
3. Your account
You are responsible for everything done under your account, including by anyone you authorise and by anything holding your API credentials. Multi-factor authentication is mandatory. You must keep API keys secret, rotate them if they may have been exposed, and tell us promptly if you suspect compromise.
You are responsible for your own customers: for verifying their identity where required, for the lawfulness of what they buy, and for handling their complaints.
4. Wallets, funding, and money movement
Your wallet balance is recorded in integer minor units and derived from ledger entries. Card issuing and card loads draw on that balance, plus any applicable fees. You may not spend value you do not hold.
Deposits are credited when confirmed. Withdrawals are requested from the portal and require our approval before completion; there is no API for withdrawals. We may delay or decline a withdrawal where we are investigating, where verification is incomplete, or where we are required to.
Funds held in your wallet are not a deposit, are not interest-bearing, and are not covered by any deposit guarantee or insurance scheme.
5. Acceptable use
Your use is subject to the Acceptable Use Policy, which forms part of these terms. It lists prohibited businesses and prohibited conduct, and breaching it is grounds for suspension or termination.
6. Fees
Fees are those agreed with you in writing. Where a fee applies to an operation, it is charged at the time of that operation and recorded in the ledger alongside it. We will give you reasonable notice before changing agreed fees.
7. Availability
We do not commit to a service level in these terms. We do not promise a percentage of uptime, a settlement time, or a support response time here. Where we agree such commitments with you, they will be in a separate written agreement that says so.
We may suspend access for maintenance, for security, or where a partner or regulator requires it. We aim to give notice where circumstances allow.
8. Suspension and termination
You may close your account at any time once outstanding obligations are settled. We may suspend or terminate where you breach these terms or the Acceptable Use Policy, where verification cannot be completed, where we are required to by law or by a partner, or where continuing would expose us or cardholders to unacceptable risk.
We may act immediately and without prior notice where there is suspected criminal activity, sanctions exposure, or risk to cardholders — and in some of those cases we may be legally prohibited from explaining why.
On termination, cards stop working, we will return any remaining balance you are entitled to once obligations and investigations are resolved, and we retain records we are required to retain.
9. Intellectual property
We keep all rights in the platform, its software, and its documentation. You keep all rights in your own data and your own brand. You grant us only the licence needed to operate the service for you, including passing necessary data to issuing partners.
10. Warranties and liability
The platform is provided as-is. To the fullest extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We are not liable for indirect, incidental, special, or consequential loss, or for loss of profit, revenue, goodwill, or anticipated savings. Our total aggregate liability arising out of or in connection with these terms is limited to the fees you paid us in the three months before the event giving rise to the claim.
Nothing here excludes liability that cannot lawfully be excluded, including for fraud or fraudulent misrepresentation.
11. Indemnity
You will indemnify us against claims, losses, and costs arising from your use of the platform in breach of these terms or the Acceptable Use Policy, from your customers, or from your failure to meet an obligation you owe them or a regulator.
12. Changes
We may change these terms. Material changes are published as a new version with a new effective date, and we will notify you through the portal or by email. Continuing to use the platform after a change takes effect means you accept it.
13. Governing law
The governing law and forum are published here once company registration completes. We have chosen not to name a jurisdiction before the entity exists in it.
14. Complaints
If something goes wrong, the Complaints policy explains how to raise it and what happens next.
